These Terms and Conditions of Use (“Terms”) govern your access to and use of websites operated by P3 Global Services, Inc. (“P3 Global Services,” “P3,” “we,” “us,” or “our”), including gatewayservices.p3globalservices.com, any mobile versions of our websites, associated online services, and any current or future websites that link to or incorporate these Terms (collectively, the “Site”).

Please review these Terms carefully.

By accessing or using the Site, creating an account, submitting information, or purchasing products or services through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you should not access or use the Site.

1. Website Use

You may use the Site only for lawful purposes and in accordance with these Terms.

Access to the Site is provided for legitimate personal or business purposes, including obtaining information regarding P3 Global Services products and services, communicating with us, and purchasing products or services where available.

You may not:

• Attempt to gain unauthorized access to any portion of the Site, server, account, system, or network;
• Attempt to interfere with the proper operation or security of the Site;
• Introduce viruses, malware, malicious code, or other harmful technologies;
• Use automated means to access, scrape, harvest, or copy Site content except as expressly authorized by us;
• Circumvent security, authentication, or access-control measures;
• Use information obtained through the Site for unlawful or fraudulent purposes;

• Use the Site in a manner that violates applicable local, state, federal, or international law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, MATERIALS, PRODUCTS, INFORMATION, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

P3 GLOBAL SERVICES DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

P3 GLOBAL SERVICES DOES NOT WARRANT THAT:

• THE SITE WILL OPERATE WITHOUT INTERRUPTION;
• THE SITE WILL BE ERROR-FREE;
• DEFECTS WILL ALWAYS BE CORRECTED;
• INFORMATION AVAILABLE THROUGH THE SITE WILL ALWAYS BE COMPLETE, ACCURATE, OR CURRENT; OR
• THE SITE, SERVERS, OR RELATED SYSTEMS WILL BE FREE FROM VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not permit certain exclusions of implied warranties. In those jurisdictions, some of the exclusions above may not apply to you.

3. Product Information and Availability

Product descriptions, specifications, images, pricing, availability, and other information displayed on the Site are provided for informational purposes and may change without notice.

Product cross-reference information and comparisons are provided as a convenience and do not guarantee that compared products are identical, interchangeable, or functionally equivalent in every application.

A cross-reference does not mean that all referenced products are available through P3 Global Services.

For critical, regulated, safety-related, or specialized applications, purchasers are responsible for reviewing the applicable manufacturer’s specifications, instructions, certifications, and requirements before purchasing or using a product.

5. Orders and Purchases

Orders submitted through the Site constitute offers to purchase and are subject to acceptance by P3 Global Services.

We reserve the right to accept, reject, limit, or cancel any order where permitted by law, including in situations involving:

• Pricing or product-description errors;
• Product unavailability;
• Suspected fraudulent activity;
• Payment authorization issues;
• Quantity limitations;
• Shipping restrictions; or
• Other legitimate business considerations.

If we cancel an order after payment has been collected, the applicable amount will be refunded in accordance with our normal payment-processing procedures.

Additional terms relating to shipping, returns, cancellations, warranties, custom products, or particular customer programs may apply and may be presented separately at the time of purchase.

6. Pricing

Prices displayed through the Site are subject to change without notice unless otherwise agreed in writing.

Prices may not include applicable taxes, shipping charges, handling charges, duties, or other fees unless specifically stated.

In the event of an obvious pricing, typographical, or system error, P3 Global Services reserves the right to correct the error and cancel or modify the affected transaction as permitted by applicable law.

The Site and its contents, including text, graphics, images, logos, product information, page layouts, software, databases, photographs, video, audio, designs, icons, and other materials, may be protected by copyright, trademark, patent, trade-secret, and other intellectual-property laws.

All rights not expressly granted are reserved.

Access to the Site does not grant you ownership or any other intellectual-property rights in Site content.

You may view, print, or download reasonable portions of Site content solely for legitimate personal or business purposes related to evaluating or purchasing P3 Global Services products or services.

You may not, without prior written permission:

• Modify or create derivative works from Site content;
• Republish Site content;
• Sell or sublicense Site content;
• Systematically download or collect Site content;
• Remove copyright, trademark, or proprietary notices; or
• Use P3 Global Services intellectual property in a manner likely to cause confusion regarding sponsorship, affiliation, or endorsement.

8. Trademarks

Names, logos, product names, service names, designs, and slogans appearing on the Site may be trademarks or service marks of P3 Global Services, manufacturers, suppliers, or other third parties.

Nothing contained on the Site grants permission to use any trademark or service mark without the prior written permission of its owner.

Third-party trademarks remain the property of their respective owners.

9. Third-Party Links

The Site may contain links to websites, services, platforms, or resources operated by third parties.

P3 Global Services does not control and is not responsible for third-party websites, their content, privacy practices, security, products, services, or availability.

The inclusion of a link does not necessarily constitute sponsorship, recommendation, approval, or endorsement by P3 Global Services.

You access third-party websites at your own discretion and subject to the terms and policies governing those websites.

10. User Submissions and Communications

You may provide comments, suggestions, feedback, product reviews, inquiries, photographs, documents, files, or other materials to P3 Global Services through the Site.

You retain ownership of intellectual property that you lawfully own.

However, by voluntarily submitting non-confidential feedback, suggestions, ideas, or similar materials concerning P3 Global Services products, services, or operations, you grant P3 Global Services a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, distribute, display, and otherwise use that material for legitimate business purposes.

This provision does not mean that confidential customer information, personal information, payment information, or materials submitted in connection with a private customer transaction automatically become public information.

Personal Information submitted through the Site is handled in accordance with our Privacy Policy.

You represent that you have the necessary rights and permissions to provide any materials you submit to us.

11. Privacy and Information Collection

Information collected through the Site is governed by the P3 Global Services Privacy Policy.

Depending on how you interact with the Site, we may collect information such as:

• Account information;
• Shipping and billing information;
• Transaction and order information;
• Communications with customer service;
• IP address;

Payment-card information may be processed through third-party payment processors and may not be stored directly by P3 Global Services.

You agree to notify P3 Global Services promptly if you become aware of unauthorized access to or use of your account.

13. Account Responsibility

If the Site permits creation of an account, you are responsible for:

• Providing accurate information;
• Keeping account information current;
• Protecting account credentials;
• Restricting unauthorized access to your account; and
• Activities occurring through your account to the extent permitted by applicable law.

You may not transfer, sell, or provide your account credentials to another person unless expressly permitted by P3 Global Services.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, P3 GLOBAL SERVICES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO OR USE OF THE SITE.

THIS MAY INCLUDE, WITHOUT LIMITATION, DAMAGES ARISING FROM:

• LOSS OF DATA;
• LOSS OF PROFITS OR REVENUE;
• BUSINESS INTERRUPTION;
• LOSS OF BUSINESS OPPORTUNITY;
• UNAUTHORIZED ACCESS;
• SITE INTERRUPTION;
• RELIANCE ON SITE INFORMATION; OR
• THIRD-PARTY CONTENT OR SERVICES.

These limitations apply regardless of whether the alleged liability arises from contract, tort, negligence, strict liability, statute, or another legal theory, to the extent permitted by law.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless P3 Global Services and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

• Your unlawful use of the Site;
• Your material violation of these Terms;
• Your infringement of another person’s rights; or
• Materials you submit through the Site in violation of applicable law or third-party rights.

16. Foreign Corrupt Practices and Anti-Bribery Compliance

Customers, purchasers, distributors, resellers, suppliers, and other business partners are expected to comply with applicable anti-bribery and anti-corruption laws.

No party acting on behalf of or in connection with P3 Global Services may offer, authorize, provide, or promise anything of value to a government official or other person for the purpose of improperly obtaining or retaining business, securing an improper advantage, or influencing an official decision.

Nothing in these Terms authorizes any person or entity to act as an agent of P3 Global Services unless expressly agreed in writing.

17. Governing Law

Except where applicable law requires otherwise, these Terms and disputes arising from or relating to these Terms or use of the Site shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply unless expressly agreed otherwise in writing.

To the extent applicable to a transaction involving the sale of goods, the Uniform Commercial Code as adopted by the State of California may apply.

18. Dispute Resolution

The parties are encouraged to attempt in good faith to resolve disputes informally before commencing formal proceedings.

Except where prohibited by applicable law or where different terms have been separately agreed in writing, disputes arising from or relating to a commercial transaction with P3 Global Services may be resolved by arbitration administered by the American Arbitration Association (“AAA”) in accordance with the applicable AAA rules.

Unless otherwise required by applicable law or agreed by the parties, arbitration shall take place in Los Angeles County, California.

Judgment upon an arbitration award may be entered in any court having jurisdiction.

P3 Global Services retains the right to pursue claims for unpaid amounts or seek temporary or injunctive relief through a court of competent jurisdiction where permitted by applicable law.

Nothing in this section is intended to eliminate any rights or remedies that cannot lawfully be waived.

19. Termination or Suspension of Access

P3 Global Services may suspend or terminate access to all or part of the Site when reasonably necessary to:

• Maintain Site security;
• Perform maintenance;
• Address suspected fraud or unlawful activity;
• Respond to a violation of these Terms;
• Comply with legal requirements; or
• Protect P3 Global Services, our customers, or other users.

Provisions of these Terms that by their nature should survive termination will remain in effect.

20. Changes to These Terms

P3 Global Services may modify these Terms periodically to reflect changes in our business, Site functionality, legal requirements, products, or services.

When these Terms are revised, we will update the “Last Updated” date above.

Material changes may also be communicated through the Site or by other reasonable means where required by law.

Your continued use of the Site after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

21. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed from these Terms without affecting the validity and enforceability of the remaining provisions.

22. No Waiver

Failure by P3 Global Services to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

23. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly applicable to a particular product, service, customer program, quotation, or transaction, constitute the applicable agreement concerning use of the Site.

Where a separately executed agreement between P3 Global Services and a customer conflicts with these Terms, the separately executed agreement will control to the extent of the conflict.
